These Terms of Service ("Terms") govern your access to and use of the websites, products, software, and services (collectively, the "Services") provided by Clients Empire LLC ("Company", "we", "us", or "our"), operating as Clients Empire.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Description of Services

Clients Empire LLC provides digital marketing services, CRM automation, and software-as-a-service (SaaS) solutions for businesses. Our services may include web design, ad management, SMS and email marketing automation, reputation management, online reviews, chatbots with AI, customer relationship management tools, and related consulting services.

2. Eligibility

You must be at least 18 years old to use our Services. By accepting these Terms, you declare and warrant that you have the legal capacity to enter into this agreement.

The submission of payment, electronic signatures, online acceptance, email approvals, and continued use of the Services constitute legally binding acceptance of these Terms and the Refund Policy.

3. Account Registration

Certain features require the creation of an account. You are responsible for maintaining the confidentiality of your credentials and for all activity on your account. You must notify us immediately of any unauthorized access.

4. SMS Communications

Our forms offer optional checkboxes for consent to SMS and voice from Clients Empire LLC at the number you provide, including through automated means.

5. SMS Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages. Clients Empire LLC is not responsible for delays in message delivery, as transmission depends on the wireless carrier of the recipient and network conditions.

6. Payments, Billing, and Refunds

a) Billing
Subscription services are billed on a recurring basis. By subscribing, you authorize recurring charges to your payment method. Payments are processed securely via Stripe or other approved processors.

b) Cancellation
Subscriptions may be canceled at any time by contacting our support team. Cancellation will take effect at the end of the current billing period. Prorated refunds will not be provided unless required by applicable law.

c) Refunds
Refunds are governed exclusively by our Refund Policy, incorporated into these Terms by reference. By using the Services, you acknowledge and agree to the Refund Policy. Except as expressly set forth therein, all fees are final and non-refundable.

d) Client Cooperation
The Client agrees to provide necessary information, approvals, materials, and timely cooperation for the execution of the Services. Delays or failures caused by the Client shall not constitute delivery failure and will not entitle to a refund.

e) Service Delivery
The Services will be considered delivered upon the occurrence of any of the following:

Access credentials are provided.
Websites, automations, advertisements, reports, or other deliverables are created or shared.
Training, onboarding, or consulting sessions are conducted.
Materials or project files are made available.
Any part of the Services has been completed or made available to the Client.

Access or use by the Client is not required for delivery to occur.

f) Acceptance of Deliverables
Deliverables will be considered accepted upon the earliest of the following:

Use by the Client;
Written approval from the Client; or
Seven (7) days following delivery without written notice of material deficiencies.

g) Project Abandonment
If the Client fails to respond for thirty (30) consecutive days, the project will be considered abandoned. Fees already paid will be deemed earned and non-refundable.

h) Immediate Commencement of Services
Upon submitting payment, the Client expressly requests the immediate commencement of the Services and acknowledges that, once execution has begun, any right of cancellation or refund is waived to the maximum extent permitted by applicable law.

i) Records and Execution Evidence
Clients Empire LLC may maintain records including emails, text messages, support tickets, CRM logs, access records, screenshots, project files, recordings, timestamps, and communications. Such records may be used as evidence that the Services were performed.

j) Chargebacks and Payment Disputes
Before initiating a chargeback or payment dispute, the Client agrees to first contact Clients Empire LLC and make a good-faith effort to resolve the matter.

In the event of a dispute, Clients Empire LLC reserves the right to provide invoices, contracts, communications, access logs, screenshots, recordings, project files, and other evidence demonstrating the execution of the Services.

7. Acceptable Use Policy

You agree not to use the Services to:

Violate any law or regulation;
Send spam or misleading communications;
Harass or abuse others;
Transmit malware or malicious code;
Obtain unauthorized access to systems or data;
Participate in fraudulent or deceptive activities;
Infringe intellectual property rights;
Violate TCPA or telecommunications compliance laws.

We reserve the right to suspend or cancel accounts that violate this policy without prior notice or refund.

8. Intellectual Property

a) Our Property
All content, software, commercial marks, logos, graphics, designs, and materials provided through the Services are the property of Clients Empire LLC or its licensors and are protected by applicable intellectual property laws.

b) Your Content
You retain ownership of your content. By submitting content through the Services, you grant us a limited, non-exclusive, royalty-free license to use and process such content solely to provide the Services.

c) Restrictions
You may not copy, modify, distribute, resell, or create derivative works without prior written consent.

d) Ownership of Deliverables
Unless expressly agreed otherwise in writing, ownership of websites, automations, campaigns, graphics, software configurations, and other work performed will remain with Clients Empire LLC until all owed fees have been fully paid.

Clients Empire LLC reserves the right to suspend access to deliverables during any non-payment, chargeback, or payment dispute.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENTS EMPIRE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Clients Empire LLC, its directors, employees, agents, and affiliates from and against any claim, liability, damage, loss, cost, and expense arising from:

Your use of the Services;
Your breach of these Terms;
Your violation of third-party rights.

11. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of New Mexico, United States.

The parties agree to first attempt to resolve disputes through good-faith negotiations.

If not resolved, disputes will be submitted exclusively to binding arbitration administered under the rules of the American Arbitration Association and arbitrated in Albuquerque, New Mexico.

Both parties waive the right to a jury trial and to participate in class actions or collective arbitration.

12. Termination

We may suspend or terminate access to the Services at any time, with or without notice.

Clients Empire LLC reserves the right to suspend access to websites, software, accounts, or deliverables during any non-payment, payment dispute, chargeback, or breach of these Terms.

Provisions that by their nature should survive termination shall remain in effect.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

CLIENTS EMPIRE LLC DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee income, profits, leads, appointments, advertising performance, search engine positioning, return on investment, conversion rates, or any other commercial outcome. Dissatisfaction with results does not constitute grounds for cancellation or refund.

14. Changes to these Terms

We reserve the right to modify these Terms at any time. Updated Terms will be published with a revised Last Updated date. Continued use of the Services constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Clients Empire LLC regarding the Services.
